Mergers and Acquisitions (M&A) are two aspects of the strategy of organizational, financial, and management of an organization. It serves businesses engaged in buying, selling, distribution, and integration of different companies and similar entities allowing for rapid growth in the area or location of the original organization. It also applies to a new field or location, without creating a subsidiary entity, or via a joint venture.

M&A activity can be defined as a rearrangement of the structure to be re-organization, with the objective being to provide growth or positive value.

Consolidation of an industry sector occurs when M&A activity coordinates the extensive resources of a number of small companies into several large companies, as happened in the automobile industry in the US between 1910 and 1940.

The distinction between “Merger” and “Acquisition” has become increasingly blurred (particularly in terms of the final economic results), although it has not completely disappeared in all situations.

From a legal standpoint, a Merger is the union of two companies into a single entity, while an Acquisition occurs when one company takes over another and establishes itself as its new owners. In such a case, it still exists as an independent legal entity controlled by the acquiring company. Either way, this structure can lead to the financial and economic union of two bodies. In practice, such a transaction is the purchase for legal purposes, and may euphemistically be called a “Merger of Equals,” when both CEOs agree that the Merger is in the best interest of both companies. If the transaction is not “friendly” (i.e., when the target company does not wish to be acquired) the deal will almost always be deemed an Acquisition.
